Terms of Service

These Terms govern the ISPAgents business account, multitenant operations workspace, managed UISP and UniFi hosting, device and controller billing, and the production actions customers direct.

At a glance

The short version

Business service
The Services are for ISP, WISP, FWA, MSP, and other authorized business operators, not consumer household use.
Two product planes
A customer can use the multitenant ISPAgents workspace, managed UISP or UniFi hosting, or both under one portal account.
Measured billing
Workspace plans can be measured by managed devices. Hosting is billed separately by launched controller product and capacity.
Operator control
The customer controls its subscribers, networks, connected systems, controller configuration, users, and production actions.

01Agreement and contract documents

These Terms of Service (Terms) govern access to ispagents.com, ISPAgents customer accounts and workspaces, managed UISP and UniFi hosting, support, and related services (the Services). By creating an account, accepting an order, or using the Services, you accept these Terms for the business or organization you represent (the Customer).

ISPAgents means the service provider identified as supplier on the applicable order form, quote, invoice, Stripe receipt, or checkout page. If no document identifies the provider, contact legal@ispagents.com and obtain that information before placing a paid order.

An accepted order form, quote, data processing agreement, or service level agreement is an Order. If an Order conflicts with these Terms, the Order controls for that subject. Product descriptions and checkout summaries define the selected plan, billing metric, capacity, term, and price.

02Business eligibility and authority

The Services are offered for business use by internet service providers, wireless internet service providers, fixed wireless operators, managed service providers, and other organizations authorized to manage the relevant networks and systems. They are not offered for personal, family, or household use unless ISPAgents expressly agrees in writing.

A person accepting these Terms represents that they are at least 18, can enter a binding agreement, and have authority to bind the Customer. The Customer is responsible for its authorized users and affiliates using the Services.

03The Services

The Services may include:

  • a multitenant ISP operations workspace for subscriber CRM, billing, payments, RADIUS and access, routers and CPE, TR-069, TR-369 USP, SNMP, syslog, support, field work, inventory, reporting, and assisted workflows;
  • managed UISP or UniFi controller provisioning, DNS, TLS, monitoring, backups, maintenance, support, billing, and lifecycle management;
  • connectors, APIs, data collection, exports, and customer-directed actions; and
  • portal features for team access, subscriptions, invoices, payment methods, workspace ownership, and controller lifecycle.

Features depend on plan, configuration, location, capacity, upstream vendors, and release stage. Beta, preview, or early-access features may change or be withdrawn and are not covered by an SLA unless an Order says otherwise.

04Accounts, users, and access

The Customer must provide accurate account and billing information, keep authorized-user details current, assign least-privilege roles, and promptly remove access that is no longer authorized. Login and invitation links are personal, time-limited credentials and must not be forwarded or shared.

The Customer is responsible for activity under its account unless caused by ISPAgents' breach of these Terms. It must promptly report suspected unauthorized access to security@ispagents.com. ISPAgents may require additional verification before a sensitive ownership, billing, export, support-access, or decommissioning action.

05Networks, subscribers, and operator responsibilities

The Customer represents that it owns or has documented authority to monitor, access, configure, and manage every network, device, controller, credential, subscriber record, and communications system it connects to the Services. The Customer decides whether and when to bill, suspend, restore, configure, notify, or otherwise act on a subscriber or device.

The Customer is responsible for:

  • telecommunications, privacy, consumer, tax, payment, employment, recording, direct-marketing, and data-retention laws that apply to its operations;
  • subscriber contracts, notices, consents, billing accuracy, refunds, and dispute handling;
  • the accuracy and safety of device commands, network changes, automation, and credentials it supplies or approves; and
  • maintaining independent copies of records it is legally required to keep.

ISPAgents is the Customer's software and hosting provider. It is not the Customer's telecommunications carrier, internet provider, merchant of record for subscriber charges, or contracting party with the Customer's subscribers.

06Customer Data and privacy

The Customer owns or retains its rights in Customer Data. It grants ISPAgents and its subprocessors a limited right to host, copy, transmit, back up, transform, and otherwise process Customer Data only to provide, secure, support, and comply with law for the Services.

For subscriber, device, network, field-service, and controller data, the Customer is the controller or business and ISPAgents is its processor or service provider. The Customer must provide lawful instructions and required notices and respond to individual rights. The Privacy Policy explains the separate data roles. A data processing agreement applies where required by law and may be requested from privacy@ispagents.com.

The Customer must not place data in the Services that is unlawful, unnecessary, subject to incompatible restrictions, or requires controls not included in the selected Order without first obtaining written agreement from ISPAgents.

07Managed UISP and UniFi hosting

Managed hosting is a separate subscription from the ISPAgents workspace. Subject to the selected product and available capacity, UISP is deployed on a customer-scoped host and UniFi uses customer-scoped application, database, network, and storage boundaries on managed hosting infrastructure. An Order may specify a different architecture.

Provisioning is asynchronous and may begin only after required payment is confirmed. A requested hostname, region, version, or capacity is not guaranteed until the portal reports the deployment as ready. ISPAgents may configure an operational support account and the Customer's designated owner account. The Customer is responsible for native controller users, settings, licenses, adoption credentials, sites, and device configuration.

ISPAgents manages the hosting lifecycle, TLS, reasonable monitoring, maintenance, and configured backups. Backups reduce risk but do not guarantee recovery of every change or protect against Customer-authorized deletion, incompatible upgrades, upstream defects, or events outside reasonable control. Customers should export records they must retain independently.

A confirmed decommission is destructive. It can remove the controller, database, volumes, credentials, DNS, and active backups, subject to limited backup rotation and legally required records. The portal may require the Customer to clear active operations, confirm impact, or settle amounts before final account closure.

08Plans, usage, and billing metrics

Workspace plans may be priced by managed device count, a tier, a fixed amount, or custom terms. Managed hosting is billed separately by active UISP or UniFi product, controller quantity, and selected capacity. The applicable metric, included amount, currency, interval, and price appear in the portal, checkout, or Order.

The Services record device and deployment lifecycle events used to calculate billable quantity. The Customer must review usage and report a suspected metering error promptly. Adding capacity or launching a controller may create an immediate charge or proration when displayed before confirmation. Removing a billable item changes future billing only after the portal confirms the billing change and any required decommissioning step.

ISPAgents may change public prices prospectively with reasonable notice. A price change will not alter a fixed-price Order during its committed term unless that Order permits it.

09Payment, invoices, and taxes

Stripe processes checkout, recurring charges, invoices, and payment-method management. The Customer authorizes ISPAgents and Stripe to charge the selected payment method for recurring fees, usage, prorations, and taxes shown before confirmation or stated in an Order. The Customer must maintain a valid payment method and accurate billing and tax information.

Charges are due in the currency and on the schedule shown in checkout or the Order. Taxes, exemptions, reverse-charge treatment, withholding, and invoice requirements are applied as shown by the approved billing configuration and applicable law. The Customer remains responsible for taxes it must self-assess or withhold and must provide valid exemption documentation.

A failed or disputed payment may be retried through Stripe. ISPAgents may withhold provisioning, limit paid features, or suspend affected Services after notice and a reasonable opportunity to cure, except that immediate action may be taken for fraud, security risk, unlawful use, or repeated chargebacks.

10Cancellation, credits, and refunds

The portal or Stripe billing portal shows available subscription-management options. The cancellation effective date, proration, refund, or credit treatment displayed before confirmation or stated in an Order controls. A workspace cancellation and a managed-controller decommission are separate operations and may affect separate subscription items.

Unless an Order, the confirmation screen, applicable law, or an approved service-failure credit says otherwise, cancellation stops the next renewal and does not create an automatic refund for a current service period already started. A paid provisioning attempt that cannot be completed will not remain billed as an active deployment; ISPAgents will reverse, credit, or refund the affected charge as appropriate to the payment state.

Contact billing@ispagents.com before filing a chargeback so the parties can investigate metering, provisioning, or invoice evidence. This does not limit non-waivable payment rights.

11Acceptable use

The Customer and its users must not use the Services to:

  • access, monitor, intercept, scan, disrupt, or configure a network, device, account, controller, or data without authorization;
  • violate law or another person's privacy, intellectual property, confidentiality, communications, or consumer rights;
  • distribute malware, conduct denial-of-service activity, send unlawful spam, mine cryptocurrency, steal credentials, or evade security controls;
  • bypass tenant isolation, rate limits, billing meters, approval controls, product limits, or access restrictions;
  • reverse engineer the Services except where law makes that restriction unenforceable, or use the Services to build a competing hosted service; or
  • upload secrets or regulated data into logs, prompts, or fields where the selected feature does not require them.

ISPAgents may investigate suspected abuse and preserve relevant evidence. We will use reasonable efforts to limit action to the affected account, feature, controller, or integration.

12Automations, commands, and AI-assisted output

Connectors and workflows can propose or execute actions affecting subscribers, bills, devices, routers, access, and controllers. The Customer must configure permissions, approval rules, maintenance windows, and rollback procedures appropriate to its environment. A preview, recommendation, or successful API response does not guarantee the desired network outcome.

AI-assisted output can be incomplete or wrong and is not professional, regulatory, engineering, tax, or legal advice. Unless an Order expressly enables a defined automation, an authorized user must review customer-impacting output before applying it. The Customer remains responsible for decisions and actions it approves.

13Support and administrative access

The Customer authorizes appropriately privileged ISPAgents personnel to access account, workspace, or controller data when reasonably necessary to fulfill a support request, investigate a security or reliability event, restore service, or comply with law. Sensitive access may require a reason, approval, and audit record.

The Customer must not ask support personnel to bypass access controls, ownership verification, billing controls, or another customer's isolation. Support scope and response targets are determined by the selected plan or Order.

14Third-party software and services

The Services interoperate with products not controlled by ISPAgents, including Stripe, Ubiquiti UISP and UniFi, MikroTik RouterOS, messaging providers, and customer-selected systems. Those products remain subject to their own licenses, terms, privacy notices, compatibility, support, and availability.

ISPAgents is not affiliated with or endorsed by Ubiquiti unless expressly stated. The Customer must obtain any third-party licenses and permissions required for its use. ISPAgents is not responsible for a third party's change, outage, security incident, end-of-life decision, or API restriction, but will use reasonable efforts to mitigate effects on the Services.

15Intellectual property and feedback

ISPAgents and its licensors retain all rights in the Services, software, documentation, designs, APIs, and marks. Subject to payment and these Terms, ISPAgents grants the Customer a limited, non-exclusive, non-transferable right during the subscription term for authorized users to use the Services for the Customer's internal business operations.

The Customer may provide feedback. ISPAgents may use it without restriction or payment, but will not identify the Customer publicly without permission. ISPAgents may use aggregated or de-identified service information to operate, secure, benchmark, and improve the Services when it cannot reasonably identify a customer, subscriber, or individual.

16Confidentiality

Each party will protect the other's non-public business, technical, and security information using at least reasonable care and use it only to perform or exercise rights under the agreement. Confidential information does not include information lawfully known without restriction, independently developed, rightfully received from another source, or made public without breach.

A party may disclose confidential information when legally required if, where lawful, it gives prompt notice and reasonable assistance to seek protection. The data processing agreement governs Customer Data where its confidentiality terms are more specific.

17Availability, maintenance, and security

ISPAgents will use reasonable care to operate and secure the Services. Planned maintenance, emergency work, internet and cloud failures, customer systems, upstream vendors, and force majeure events can interrupt availability. No service level or recovery objective applies unless stated in an Order.

ISPAgents may install security patches, rotate credentials, replace infrastructure, or restrict a vulnerable integration when reasonably needed. The Customer must maintain supported versions and promptly cooperate with required remediation. Security information is available on the Security page.

18Suspension, termination, and account closure

ISPAgents may suspend affected Services for material breach, overdue payment after notice, security risk, unlawful use, threat to another tenant or the platform, or when a provider or law requires it. When practical, ISPAgents will give notice and an opportunity to cure and will restore the Services after the issue is resolved.

Either party may terminate as allowed by an Order or for an uncured material breach. The Customer may request account closure through the portal or support. Active controllers, pending operations, disputes, or unpaid invoices may need resolution before final closure.

Before termination takes effect, the Customer should export needed data. A generated export download expires after 24 hours. After closure, ISPAgents will delete or isolate Customer Data according to the Privacy Policy, backup cycles, the data processing agreement, and legal retention duties. Terms that by their nature should continue, including payment, confidentiality, IP, disclaimers, liability, and dispute provisions, survive.

19Warranties and disclaimers

Each party warrants that it has authority to enter the agreement. ISPAgents warrants that it will provide paid Services with reasonable care and skill. If the Customer reports a material breach of that warranty promptly, ISPAgents will use reasonable efforts to correct the affected Service; if it cannot, either party may terminate that affected Service and ISPAgents will provide any credit or refund required by the Order or applicable law.

Except for express commitments in the agreement and to the maximum extent permitted by law, the Services are provided "as is" and "as available." ISPAgents disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. ISPAgents does not warrant third-party systems, AI output, network outcomes, subscriber payment, or recovery of every data change.

20Limitation of liability

To the maximum extent permitted by law, neither party is liable under the agreement for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or anticipated savings, even if advised they were possible.

Except for liabilities that cannot lawfully be limited, each party's aggregate liability arising from the Services is limited to the fees paid or payable for the affected Services during the 12 months before the event giving rise to the claim. The exclusions and cap do not limit payment obligations, fraud, willful misconduct, breach of confidentiality, infringement or misappropriation of the other party's intellectual property, or an indemnity obligation to the extent such exclusion is prohibited or unreasonable under applicable law.

21Indemnification

The Customer will defend and indemnify ISPAgents against a third-party claim arising from Customer Data, the Customer's subscriber relationship, unauthorized or unlawful use of a network or system, or the Customer's material breach of Sections 5 or 11.

ISPAgents will defend and indemnify the Customer against a third-party claim that the unmodified paid Services, when used as permitted, infringe a patent, copyright, or trademark. ISPAgents may modify or replace the affected Service or terminate it and refund prepaid unused fees. This obligation does not cover Customer Data, third-party products, customer modifications, or combinations not supplied by ISPAgents.

The protected party must give prompt notice, reasonable cooperation, and control of the defense to the indemnifying party. A settlement may not admit fault or impose a non-monetary obligation on the protected party without its consent.

22General terms, law, and contact

The governing law, courts, and contracting ISPAgents entity are those stated in the applicable Order, invoice, or checkout record. Mandatory law continues to apply where it cannot be changed by contract. Neither party may assign the agreement without the other's consent, except to an affiliate or as part of a merger, financing, reorganization, or sale of substantially all relevant assets, with notice and assumption of the obligations.

Neither party is liable for delay caused by events beyond reasonable control, except payment obligations. Notices may be delivered to the account email, portal, or addresses in the Order. These Terms, incorporated policies, and Orders are the entire agreement for the Services. A waiver must be written. Invalid provisions are adjusted only as needed, and the remainder continues.

ISPAgents may update these Terms prospectively for legal, security, or product changes. We will post a new version and provide additional notice for a material change. Changes do not retroactively alter an Order's fixed committed terms.
